But you're acting as the bank: if the buyer defaults, you may need to take the business back (often in worse shape), and your remaining payments stop. The down payment is the only cash you're guaranteed. Structure the note so the down payment covers your critical needs, and consider a personal guarantee, collateral, and a shorter term with a balloon if needed.
This calculator uses standard amortization. Real seller-financed deals may include interest-only periods, balloon payments, or revenue-based earnouts that change the payment structure. Always have an attorney draft or review the promissory note and security agreement.
